AMB Designs International Wholesale Terms & Conditions
Below are the Terms and conditions for AMB Designs International that shall apply to "Resellers" who purchase AMB products at wholesale prices solely for the purposes of resale to the public. All new AMB "Resellers" are to be approved by AMB through our online New account Application. Verification may include photographs of Reseller's store, website identification, Business License or any other applicable documentation.
AMB reserves the right to terminate the account of any Reseller who does not abide by our Wholesale Terms & Conditions.
By opening a Reseller account with AMB and using our website, you acknowledge your acceptance of these terms.
For new customers, we ask for a minimum first order of $200. For all customers, we require 3 units minimum per style (SKU). The minimum for re-orders is $80.
- Submitting Orders:
You can place orders with your rep, through our website, via phone or fax. Please call us at (305)335-0570 or email us at email@example.com if you’d like information on showrooms and reps in your territory or need help with your website access.
- Backordered Items:
Items not in stock at the time of shipping will be backordered and shipped later without a shipping charge. When you receive your AMB shipment and check over your invoice, please take note of anything backordered. Backorders will not be cancelled unless requested by phone or email at firstname.lastname@example.org.
- Turn-Around Time:
Orders are shipped on a first-come first-serve basis. Please note most of our printed tops and leggings are made to order, which means orders that include several of these items may take longer to ship. Under normal circumstances, orders will typically ship within 2-3 business days from the day you order.
Unless you request otherwise, all orders are shipped via UPS Ground. Additional charges will apply for expedited shipments.
- Reporting Shortages /Incorrect Items:
Please let us know immediately, within 48 hours of receiving your order. Contact email@example.com or call (305)335-0570.
- Nature of Handmade Goods:
As most of our products are hand dyed and printed in-house, each individual item may differ slightly in appearance, which lends to and enhances the character of the overall mix of products.
- Damaged Items:
Should a customer return any AMB item to you that is damaged or broken due to material failure or workmanship issues within 3 months of purchase, please let us know via phone or email at firstname.lastname@example.org to get a return authorization. We cannot send replacements or issue credits for damaged items that we have not seen.
- Defective Items:
Please inspect all the items in each shipment carefully for defects in stitching and assembly. We are happy to issue replacements when the defects are reported to us within 2 weeks of you receiving your shipment.
- Custom Products:
We are happy to work with you on custom orders, but please keep in mind these usually take about a week longer to ship. All custom-made products are final sale.
- Resale of AMB Products and Pricing:
We expect that our items be sold at a reasonable retail markup & in a retail environment. We suggest x 2.2 markup but require a minimum of x 2 (Keystone) of our wholesale price. We understand that Resellers may occasionally liquidate slow-moving items at lower prices, but this may only apply to older styles (at least 6 months after they are launched on our website). If we determine that it is a customer’s normal practice to resell below Keystone markup, we reserve the right to refuse future business with you.
- Intellectual Property:
The Site design and all intellectual property rights in our website, line sheets, and any other marketing materials, including all text, graphics, logos, products photos, information, content, and other material displayed on or that can be downloaded from the Site are either the property of, or used with permission by, AMB Designs International and are protected by copyright, trademark and other laws. All such rights are reserved. AMB intellectual property shall not be used to promote other brands of apparel or other products. Reseller agrees that it shall not use any confusingly similar trademarks or trade names as "AMB" or “AMB Designs”.
- Use of Photos:
AMB invests considerable time and resources in our product photography and we reserve the exclusive right to be the first to launch new product photos on our wholesale and retail websites. Permission is granted to online Resellers to use AMB photographs 30 days after they have first been published on our wholesale website. Further, AMB’s photos may be used solely in connection with the retailing of AMB products and only when there is clear attribution to AMB. We do not allow the use of our promotional banners, home sliders, social media ads or posts, and any other promotional materials.
- Online Sales:
AMB values the exclusivity of our brand and therefore it is against AMB’s policy to offer our products on Ebay, Etsy, Amazon, or similar online channels. Further, AMB reserves the right to be the first to launch new products and collections on our websites and social media channels.
- Ownership of Goods:
Ownership of goods passes to you at time of payment in full. We remain the owner of all goods covered by an invoice until you have paid in full the invoice value of those goods.
- Removing tags & labels:
We are not a private label company, therefore cutting the AMB label off of our merchandise or rebranding it as yours is not permitted. We reserve the right to discontinue wholesale business with anyone reported doing so.
We accept Visa, MasterCard, and American Express for payment. We will consider COD or Net 30 under special circumstances.
- Changes to Terms:
We reserve the right to update terms, pricing or minimums, or discontinue certain styles and colors without notice.
- Sale Items:
All sale/clearance items are final sales. No returns or exchanges are allowed.
- Re-Routing & Shipping Issues:
Please be sure to double-check your ship-to address upon checkout, as we cannot be held responsible for shipping address mistakes. It is your responsibility to make sure your order is going to your exact address when you review your order information--we will not be responsible for any rerouting charges resulting from typos or mistakes.
- Drop Shipping & Consignment:
We are not offering drop shipping or consignment arrangements at this time.
